Commercial: working with shareholders and top management on business development strategies providing legal insight for new business assessment and risk management. Drafting, negotiating, and reviewing a wide range of agreements (including supply, distribution, agency, confidentiality, supply, service and contracts with consumers) arising from contracts with private companies, municipalities and public owned companies related to traditional and digital advertisement and mobility services including contracts with end users. Participation to public bid for the concession of advertisement activity, contracts with intermediatory and agents including media agency, technology transfer and service contracts related to broadcasting media content and various digitalization projects. Litigation: Claim mitigation, interaction and lead of external lawyers for civil commercial and administrative disputes. Reponsible for the legal budget optimization. Privacy and Cybersecurity: rollout at local level of GDPR implementation (data mapping, classification, building data registry), privacy issues related to audience measurement and tracking devices. Cybersecurity and IP protection related to broadcasting activity. Responsible for day by day privacy law compliance (ie. employee data privacy matters, customer, bike users and suppliers use of data), periodic privacy assessment and internal audit. Management of claims brough against the company to the Italian Privacy Authority. Compliance: Draft and insure adoption of internal policies and guidelines implementing local laws, industry regulations and compliance standard agreed with global and local leadership team. Risk assessment and periodic update to the corporate on status of compliance adherance. Periodic training delivery. Antitrust: advise on different issues related to agency and distribution contracts and State Aid claims. Assistance to Marketing and HR department: Review and advise on all legal aspects of promotion, marketing and advertising materials, ensuring compliance with relevant local legislation. Support on employment and labour law related matters and legal implications of other employee arrangements Corporate and M&A: data room preparation and due diligence support. Responsible for Company Secretarial Matters performed by the delegated team.
